5.4 Taxes

5.5 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final. 5.6 Chargebacks

6. Intellectual Property Rights

All content, materials, and intellectual property on the Wing Snob website and associated with our brand, including but not limited to the Wing Snob name and logo, trade dress, trademarks, service marks, website design and layout, graphics, images, photographs, text, menu descriptions, recipes, promotional materials, software, source code, and all other content (collectively, "Wing Snob Content"), are the exclusive property of Wing Snob or its licensors and are protected under applicable United States intellectual property laws, including the Lanham Act (15 U.S.C. § 1051 et seq.), the Copyright Act (17 U.S.C. § 101 et seq.), and applicable state laws.

9. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WING SNOB PROVIDES THE SERVICES AND ALL CONTENT ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WING SNOB EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE WEBSITE;
• WARRANTIES THAT ORDERS WILL BE FULFILLED ON TIME OR THAT FOOD QUALITY WILL MEET ANY PARTICULAR STANDARD;
• WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent such exclusions are not permitted by applicable law, they shall apply to the fullest extent permitted.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WING SNOB, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS;
• PERSONAL INJURY OR PROPERTY DAMAGE NOT DIRECTLY CAUSED BY OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• ERRORS, OMISSIONS, OR INACCURACIES IN OUR MENU, PRICING, OR WEBSITE CONTENT;
• SERVICE INTERRUPTIONS, TECHNICAL FAILURES, OR DELAYS IN DELIVERY.

IN ALL CASES, WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO WING SNOB IN THE THIRTY (30) DAYS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth in this section are fundamental elements of the basis of the bargain between Wing Snob and you, and Wing Snob would not be able to provide Services without such limitations. Some states do not allow the limitation of liability for certain damages; in such states, liability shall be limited to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its affiliates, owners, officers, directors, employees, agents, contractors, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or in any way related to:

• Your use of or access to the Services;
• Your violation of these Terms or any applicable law or regulation;
• Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights;
• Any User Content you submit, post, or transmit through our Services;
• Your fraudulent or malicious conduct;
• Any dispute between you and a third party arising from your use of the Services.

Wing Snob reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Wing Snob in asserting any available defenses. You agree not to settle any indemnified claim without Wing Snob's prior written consent.

12. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the applicable state laws of the jurisdiction in which Wing Snob operates, without regard to any conflict of law principles that would require application of the laws of a different jurisdiction.

To the extent any dispute is not subject to binding arbitration as set forth in Section 13, you and Wing Snob irrevocably consent to the exclusive jurisdiction and venue of the federal and state courts located in the United States with jurisdiction over Wing Snob's principal place of business for the resolution of any disputes arising out of or relating to these Terms or the Services.

Wing Snob operates in compliance with all applicable federal laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), the Food, Drug, and Cosmetic Act (21 U.S.C. § 301 et seq.), the Americans with Disabilities Act (42 U.S.C. § 12101 et seq.), and applicable state consumer protection laws. To the extent Wing Snob serves or collects information from California residents, it also complies with the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA).

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact Wing Snob at [email protected] and attempt to resolve any dispute informally. Wing Snob will attempt to resolve the dispute through direct communication within thirty (30) days of receiving your written notice. If the dispute is not resolved within this period, either party may proceed to arbitration as described below.

13.2 Binding Arbitration

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR THE RELATIONSHIP BETWEEN YOU AND WING SNOB SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT.

Arbitration shall be conducted by a recognized arbitration organization, such as the American Arbitration Association (AAA), under its then-current Consumer Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on both parties. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent irreparable harm pending the outcome of arbitration.

13.5 Arbitration Costs

For claims under $10,000 USD, Wing Snob will pay all arbitration filing fees unless the arbitrator determines the claim is frivolous. For claims over $10,000 USD, arbitration costs shall be allocated in accordance with the applicable AAA rules.

14. Term and Termination

14.1 Term

These Terms become effective when you first access our Services or accept these Terms and shall remain in full force and effect for as long as you continue to use our Services or maintain an account with Wing Snob.

14.2 Termination by You

You may terminate your account and cease using our Services at any time by contacting us at [email protected]. Termination does not relieve you of any obligations incurred prior to the effective date of termination, including payment for orders already placed.

14.3 Termination by Wing Snob

Wing Snob reserves the right to suspend or terminate your access to the Services, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or any applicable law;
• Fraudulent, abusive, or harmful conduct;
• Non-payment or chargeback disputes;
• At Wing Snob's sole business discretion.

14.4 Effect of Termination

Upon termination, your license to use the Services is immediately revoked. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6 (Intellectual Property), 9 (Disclaimer of Warranties), 10 (Limitation of Liability), 11 (Indemnification), 12 (Governing Law), 13 (Dispute Resolution), and 16 (Severability).

Wing Snob reserves the right to modify, update, or replace these Terms of Service at any time at its sole discretion.
